Agreement to terms

These Terms of Service (“Terms”) govern your access to and use of the website www.tallydigital.io (the “Site”) operated by Tally Digital (“we”, “us”, “our”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site. You must be at least 18 years old to use the Site.

Our services

Tally Digital provides web design, custom software development, and digital solutions for businesses. The Site serves as an informational and marketing platform for our services. We also offer free online tools including a time zone converter, lorem ipsum generator, case converter, and sitemap generator.

These Terms apply to your use of the Site as a visitor. If you engage us for project work, a separate project agreement will govern that relationship.

Intellectual property

All content on the Site — including text, graphics, logos, icons, images, code, and design — is the property of Tally Digital or our licensors and is protected by copyright and intellectual property laws.

You may view and print pages from the Site for your personal, non-commercial use. You may not:

  • Reproduce, distribute, or commercially exploit any content without our written permission
  • Modify, reverse-engineer, or create derivative works from the Site
  • Use the Site's content to compete with or replicate our services
  • Remove any copyright or proprietary notices

Free tools

We provide free online tools (time converter, lorem ipsum generator, case converter, sitemap generator) as a convenience. These tools are provided “as is” and “as available” without warranty of any kind. We do not guarantee:

  • That the tools will be error-free, accurate, or uninterrupted
  • That the output of any tool will be suitable for your specific purpose
  • Continued availability — we may modify or remove any tool at any time

You are responsible for verifying any output generated by these tools before use in production environments.

Acceptable use

When using the Site, you agree not to:

  • Use automated tools (bots, scrapers, crawlers) to access or extract data from the Site beyond standard search engine indexing
  • Attempt to gain unauthorised access to any part of the Site, its servers, or connected systems
  • Interfere with or disrupt the Site's infrastructure or other users' experience
  • Upload or transmit malicious code, viruses, or harmful content
  • Use the Site for any unlawful purpose or in violation of any applicable law

Submissions

When you submit information through our contact form or project request wizard, you acknowledge that:

  • Your submissions are not confidential unless covered by a separate written agreement
  • We may use general feedback, suggestions, or ideas without obligation or compensation to you
  • You are responsible for the accuracy of the information you provide

Personal information submitted is handled in accordance with our Privacy Policy.

Third-party links

The Site may contain links to third-party websites and services (including Calendly, LinkedIn, and others). We are not responsible for the content, privacy practices, or terms of any third-party sites. Accessing third-party links is at your own risk.

Disclaimer of warranties

The Site and all content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be available at all times, uninterrupted, secure, or free from errors.

Limitation of liability

To the maximum extent permitted by New Zealand law, Tally Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Site, including but not limited to loss of data, revenue, or profits.

Our total liability to you for any claim arising from these Terms or your use of the Site shall not exceed NZD $100.

Indemnification

You agree to indemnify and hold harmless Tally Digital from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your use of the Site, or your violation of any law or third-party rights.

Governing law

These Terms are governed by the laws of New Zealand. Any disputes arising from these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of New Zealand.

Changes to these terms

We reserve the right to update these Terms at any time. Changes will be indicated by updating the “Last updated” date at the top of this page. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
